General Terms of Services

01 Parties and scope

These General Terms of Services ("GTS") govern all sourcing, supply chain management, quality control, and related services provided by Zentior Sàrl, a company incorporated in Switzerland ("Zentior", "we", "us"), to any professional client ("Client") who places an order or signs a service agreement with Zentior.

By submitting a request, signing a purchase order, or entering into a service agreement with Zentior, the Client accepts these GTS in full.

02 Services

Zentior provides B2B industrial sourcing services, which may include:

  • Identification and qualification of Asian manufacturers for custom industrial parts
  • On-site supplier audits and quality inspections
  • Production follow-up and quality control
  • Quality documentation packages (dimensional reports, material certifications, etc.)
  • Third-party laboratory testing (SGS or equivalent)
  • Logistics coordination and delivery management
  • Warehouse and stock management services
  • Design optimisation recommendations

The exact scope of services is defined per project in a written quotation or service agreement signed by both parties.

03 Quotations and orders

All quotations issued by Zentior are valid for 30 calendar days from the date of issue unless stated otherwise. A quotation does not constitute a commitment to supply until formally accepted in writing by the Client.

An order is confirmed once Zentior issues a written order acknowledgement. Any change to a confirmed order must be agreed in writing by both parties and may result in revised pricing or lead times.

04 Pricing and payment

All prices are stated in the agreed currency (CHF, EUR, or USD) and are exclusive of VAT or any applicable taxes unless explicitly stated. The Client is responsible for all applicable duties, taxes, and customs fees in their country.

Payment terms are as specified in the quotation or invoice. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may incur interest at the rate of 5% per annum.

Zentior reserves the right to require a deposit before commencing production, typically 30–50% of the total order value.

05 Lead times and delivery

Lead times are indicative and depend on the complexity of the part, supplier availability, and logistics conditions. Zentior will communicate estimated delivery dates at the time of order confirmation and will notify the Client of any material delays as soon as reasonably possible.

Zentior is not liable for delays caused by events outside its reasonable control, including force majeure, customs delays, transport disruptions, or acts of the Client.

06 Quality and inspection

Zentior applies quality controls consistent with the agreed specifications. All partner manufacturers hold ISO 9001 certification. Where a specific quality standard or inspection procedure is required, this must be communicated in writing before the order is confirmed.

The Client is responsible for reviewing all documentation and samples provided and raising any non-conformance within 15 calendar days of receipt. Claims submitted after this period may not be accepted.

07 Confidentiality

Zentior treats all Client technical data, drawings, specifications, and commercial terms as strictly confidential. Before sharing any Client document with a manufacturer, a bilateral NDA is signed. Client identity and project details are never disclosed to third parties without written consent.

The Client agrees not to use information provided by Zentior about its supplier network to bypass Zentior and contact manufacturers directly.

08 Liability

Zentior's liability in connection with any order is limited to the value of that order. Zentior is not liable for indirect, consequential, or incidental damages, including loss of production, loss of profit, or business interruption.

Zentior acts as a sourcing and supply chain intermediary. The final manufacturing responsibility lies with the supplier. Zentior's quality control services reduce but do not eliminate risk.

09 Governing law

These GTS are governed by Swiss law. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the canton of Fribourg, Switzerland.
